These Terms of Service ("Terms") are a contract between you (or the company you represent — "you" or "Customer") and Shopvibe, Inc. ("Shopvibe", "we", "us"). They apply when you install our Shopify app, access our dashboard, or use any other feature of the Service.
1. The agreement
By clicking "Install", checking "I agree", or using the Service, you accept these Terms and our Privacy Policy. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.
2. Definitions
- Service — the Shopvibe Shopify app, including AI Search, the Checkout UI Extension, the merchant dashboard, and related APIs.
- Customer Data — data you submit to the Service, including catalog data and shopper interaction events.
- Subscription — your paid plan as configured in Shopify Billing.
- Order — a Shopify order processed while the Service is active.
3. Your account
You must be at least 18 years old and authorized to act on behalf of your store to use the Service. You are responsible for keeping login credentials secure and for all activity on your account. Notify us immediately at security@shopvibe.app if you suspect unauthorized access.
4. License & access
Subject to these Terms and your payment of fees, Shopvibe grants you a non-exclusive, non-transferable, revocable license to access and use the Service for your own internal business purposes during your Subscription. The Service is provided as software-as-a-service — you do not receive any ownership rights to our software or models.
5. Acceptable use
You agree not to:
- Reverse-engineer, decompile, or attempt to extract the source code of the Service.
- Use the Service to scrape, mirror, or rebuild a competing product.
- Use the Service to sell unlawful, infringing, or harmful goods (including counterfeit items, regulated substances without proper licensing, or content that violates Shopify's Acceptable Use Policy).
- Submit malware, attempt to overload our infrastructure, or probe for vulnerabilities outside our published security disclosure program.
- Misrepresent the source of content (for example, presenting Shopvibe-generated suggestions as human-curated reviews).
We may suspend the Service immediately if your use poses a risk to the platform or other customers.
6. Fees & billing
- Fees are charged through Shopify Billing on the cycle of your plan (monthly or annual).
- Plans are described at shopvibe.app/#pricing and may change with at least 30 days' notice.
- All fees are non-refundable except as required by law or as expressly stated in these Terms.
- If you exceed your plan's product or order limits, we'll notify you and prorate the overage on your next invoice.
- Late or failed payments may result in suspension after 14 days' notice.
7. Free trial
New stores get a 14-day free trial. No card is required up front. At the end of the trial, your selected plan begins automatically and is charged via Shopify Billing. You can cancel any time during the trial — uninstalling the app from your Shopify admin counts as cancellation.
8. Customer data
You retain all rights to Customer Data. You grant Shopvibe a limited license to host, process, and analyze Customer Data only as needed to provide and improve the Service for you. We do not train shared models on your Customer Data. Our handling of Customer Data is governed by our Privacy Policy and Data Processing Addendum.
You are responsible for ensuring you have the right to provide Customer Data to us, and for complying with applicable privacy laws (including obtaining shopper consent where required).
9. Intellectual property
Shopvibe owns all rights, title, and interest in the Service, including software, models, designs, and documentation. You may submit feedback or suggestions; if you do, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.
10. Third-party services
The Service interoperates with Shopify, payment processors, and other third-party tools. Your use of those services is governed by their own terms — we are not responsible for their availability or performance. We may change or remove third-party integrations at any time.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED RESULTS WILL ALWAYS BE ACCURATE OR APPROPRIATE FOR YOUR CATALOG. YOU ARE RESPONSIBLE FOR REVIEWING SUGGESTIONS BEFORE PROMOTING THEM TO SHOPPERS.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY (NOR THEIR AFFILIATES) WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, OR DATA. SHOPVIBE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO SHOPVIBE IN THE 12 MONTHS BEFORE THE CLAIM.
The above limitations do not apply to liability that cannot be limited by law (such as gross negligence or willful misconduct) or to a party's indemnification obligations.
13. Indemnification
You will defend and indemnify Shopvibe against third-party claims arising from your Customer Data, your products, or your breach of these Terms. Shopvibe will defend and indemnify you against third-party claims that the Service, used as permitted, infringes a valid IP right — provided you notify us promptly and let us control the defense.
14. Termination
- You can terminate at any time by uninstalling the app from your Shopify admin.
- We may terminate or suspend your access for material breach with 14 days' notice (or immediately for security or platform-policy violations).
- On termination, your access ends and we delete Customer Data within 30 days, except where retention is required by law.
- Sections that by their nature should survive (IP, disclaimers, liability, indemnity, governing law) survive termination.
15. Governing law & disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in the state or federal courts located in San Francisco County, California, and both parties consent to that jurisdiction. The UN Convention on Contracts for the International Sale of Goods does not apply.
Class-action waiver. Any claim must be brought on an individual basis; you waive the right to participate in any class or representative proceeding.
16. Changes to these Terms
We may update these Terms occasionally. If a change is material, we'll email merchant administrators at least 30 days before the effective date. Continued use of the Service after the effective date constitutes acceptance. If you don't accept, you can terminate before the change takes effect.
